These Terms and Conditions of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Anodyne Seminars, LLC, doing business as PainCRNA.com, together with its owners, members, officers, employees, faculty, instructors, contractors, affiliates, successors, and assigns (collectively, “PainCRNA,” “Anodyne,” “Company,” “we,” “us,” or “our”).

These Terms govern your access to and use of PainCRNA.com, associated websites, online courses, educational materials, continuing education programs, live and recorded lectures, question banks, examinations, videos, images, procedural demonstrations, conferences, seminars, workshops, memberships, downloads, communications, discussion forums, and other products or services offered by the Company (collectively, the “Services”).

BY ACCESSING THE WEBSITE, CREATING AN ACCOUNT, PURCHASING A COURSE OR MEMBERSHIP, ATTENDING AN EVENT, ACCESSING EDUCATIONAL MATERIAL, OR CLICKING “I AGREE,” YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS.

If you do not agree to these Terms, you must not access or use the Services.


1. EDUCATIONAL PURPOSE

PainCRNA.com is a healthcare education company.

The Services are intended solely for professional education, continuing education, professional development, examination preparation, and general informational purposes.

PainCRNA.com and Anodyne Seminars, LLC do not provide medical care to patients through the Website or educational Services.

Nothing provided by the Company constitutes:

  • individualized medical advice;
  • diagnosis;
  • treatment recommendations for a particular patient;
  • prescribing advice for a particular patient;
  • legal advice;
  • billing or reimbursement advice specific to a particular claim;
  • credentialing advice;
  • scope-of-practice authorization;
  • hospital privileging;
  • supervision of clinical practice;
  • establishment of a standard of care;
  • a physician-patient or provider-patient relationship;
  • a consulting relationship concerning an individual patient; or
  • authorization to perform any medical or procedural service.

Educational content must never be substituted for independent professional judgment.


2. NO RESPONSIBILITY FOR MEDICAL OR CLINICAL DECISIONS

EVERY MEDICAL, ANESTHETIC, PAIN-MANAGEMENT, DIAGNOSTIC, PROCEDURAL, PRESCRIBING, BILLING, OR OTHER PROFESSIONAL DECISION MADE BY A USER IS THE SOLE RESPONSIBILITY OF THAT USER.

Healthcare is patient-specific and continuously evolving. Information presented through PainCRNA.com may not be appropriate for a particular patient, facility, jurisdiction, clinical circumstance, or provider.

By using the Services, you expressly acknowledge and agree that:

  1. You remain solely responsible for evaluating the condition of each patient.
  2. You must independently determine whether any technique, medication, device, procedure, dosage, intervention, or recommendation is appropriate.
  3. You must verify information against current authoritative sources when clinically appropriate.
  4. You must comply with your applicable professional standards, facility policies, credentialing requirements, federal law, state law, regulations, board rules, and scope-of-practice requirements.
  5. You must obtain appropriate education, training, supervision, competency verification, credentialing, and privileges before performing any procedure.
  6. Completion of a PainCRNA course does not independently establish clinical competency.
  7. You should not perform a procedure merely because it was demonstrated or discussed through PainCRNA.com.

PainCRNA.com, Anodyne Seminars, LLC, their owners, faculty, instructors, employees, and contractors shall not be responsible or liable for a medical decision, clinical decision, patient outcome, complication, injury, death, billing decision, prescribing decision, or other professional action or omission made by a User based in whole or in part on information obtained through the Services.


3. INDEPENDENT PROFESSIONAL JUDGMENT

Users who are healthcare professionals are expected to exercise their own independent professional judgment.

The Company does not control, supervise, direct, or assume responsibility for the clinical practice of any User.

A recommendation, demonstration, statement, opinion, case discussion, procedural technique, image, medication dosage, algorithm, or clinical pathway presented by an instructor represents educational information and does not establish the treatment required for any patient.

Users must consider patient-specific factors, including but not limited to medical history, medications, allergies, anatomy, diagnostic information, comorbidities, risks, benefits, alternatives, and applicable standards of care.


4. SCOPE OF PRACTICE, LICENSURE, CREDENTIALING, AND PRIVILEGES

Laws and regulations governing anesthesia, nursing, advanced practice nursing, pain management, medicine, controlled substances, fluoroscopy, imaging, prescribing, billing, supervision, and procedural practice vary significantly between jurisdictions.

PainCRNA.com does not represent or warrant that a procedure, technique, medication, billing practice, or professional activity discussed through the Services is lawful or within your scope of practice.

You are solely responsible for determining whether a professional activity is permitted by:

  • your professional license;
  • your state or jurisdiction;
  • your licensing board;
  • your collaborating or supervising arrangements, when applicable;
  • federal and state law;
  • DEA requirements;
  • facility bylaws;
  • medical staff rules;
  • credentialing requirements;
  • privileging requirements;
  • payer policies;
  • accreditation requirements; and
  • any other laws or rules applicable to your practice.

Completion of a PainCRNA.com course does not confer licensure, certification, credentialing, competency, privileges, or legal authority to perform any procedure.


5. PAIN MANAGEMENT AND PROCEDURAL TRAINING DISCLAIMER

PainCRNA.com supports advanced education and professional development but does not represent that online education alone is sufficient preparation for independent performance of advanced interventional pain procedures.

Users are responsible for obtaining appropriate formal education, supervised clinical experience, mentorship, competency assessment, fellowship training, certification, credentialing, or other training appropriate to the procedures they perform.

PainCRNA.com educational offerings are not intended to replace an accredited fellowship, appropriately supervised clinical training, board certification, specialty certification, or other formal educational pathway when such education or training is required or appropriate.


6. INFORMATION MAY CHANGE

Medicine, anesthesia, pain management, pharmacology, technology, professional guidelines, reimbursement policies, regulations, and laws change frequently.

Although PainCRNA.com endeavors to provide high-quality and current educational information, the Company does not warrant that every item of Content is complete, current, error-free, or appropriate for every circumstance.

Publication of educational content does not create an ongoing obligation to update previously published material.

Users are responsible for consulting current primary sources, professional guidelines, drug labeling, laws, regulations, payer policies, and other authoritative materials when appropriate.


7. OFF-LABEL AND INVESTIGATIONAL USES

Educational programs may discuss off-label, investigational, emerging, or otherwise non-standard uses of medications, devices, techniques, or procedures.

Such discussion is for educational purposes and does not constitute a recommendation by PainCRNA.com or Anodyne Seminars, LLC.

Users are solely responsible for determining the clinical, legal, ethical, and regulatory appropriateness of any such use.


8. CONTINUING EDUCATION CREDIT

Certain courses may qualify for continuing education credit when specifically identified as such.

The number and type of credits available will be stated in the applicable course description.

PainCRNA.com does not guarantee that a particular licensing board, credentialing organization, employer, hospital, insurer, state agency, professional organization, or certification body will accept a particular educational activity unless expressly stated.

Users are responsible for determining whether a course satisfies their individual continuing education requirements.

Certificates may be conditioned upon requirements including:

  • registration;
  • payment;
  • attendance;
  • completion of course content;
  • passing examinations;
  • completion of evaluations;
  • compliance with attendance verification requirements; and
  • other requirements established for the educational activity.

The Company may refuse, revoke, or correct a certificate where it reasonably determines that completion requirements were not satisfied or that fraud, misrepresentation, examination misconduct, or account sharing occurred.


9. NO GUARANTEE OF CERTIFICATION OR EXAMINATION SUCCESS

Courses, examination reviews, question banks, study materials, and practice examinations are intended to assist Users with preparation.

PainCRNA.com is not affiliated with or endorsed by any credentialing or certification organization unless expressly stated.

The Company does not guarantee:

  • passage of any certification examination;
  • achievement of any particular examination score;
  • receipt of any credential;
  • employment;
  • hospital privileges;
  • professional advancement;
  • increased revenue; or
  • any particular professional outcome.

Practice questions are educational materials and should not be interpreted as actual questions from any certification examination unless expressly and lawfully identified as such.

Users must not submit, reproduce, or share confidential examination questions obtained through violation of another organization's examination-security policies.


10. ELIGIBILITY AND PROFESSIONAL RESPONSIBILITY

Certain Services are designed specifically for licensed healthcare professionals.

You represent that all professional credentials, licenses, certifications, or other information you provide to PainCRNA.com are accurate.

You must not falsely represent your:

  • identity;
  • professional title;
  • license;
  • certification;
  • employment;
  • qualifications;
  • continuing education completion; or
  • course participation.

Users under eighteen (18) years of age may not purchase professional healthcare education Services without the express authorization of a parent or legal guardian and may be excluded from programs intended exclusively for licensed professionals.


11. USER ACCOUNTS

Certain Services require creation of an individual Account.

Accounts are licensed to one individual User only unless PainCRNA.com expressly authorizes an institutional or group account.

You agree to:

  • provide accurate registration information;
  • maintain the confidentiality of your password;
  • prevent unauthorized access to your Account;
  • immediately notify PainCRNA.com of suspected unauthorized access; and
  • accept responsibility for activity occurring through your Account to the extent caused by your failure to reasonably safeguard your credentials.

Account sharing is prohibited.

Providing another individual with access to paid courses, videos, examinations, question banks, certificates, or other restricted Content may result in immediate suspension or termination without refund.


12. LIMITED EDUCATIONAL LICENSE

When you purchase or receive access to Content, you are purchasing a limited license to access the Content, not ownership of the Content.

Subject to these Terms, PainCRNA.com grants you a personal, limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access purchased educational Content for your own education.

Unless expressly authorized in writing, the license does not permit you to reproduce, redistribute, republish, sell, license, teach from, commercially exploit, or create derivative educational products from Company Content.


13. INTELLECTUAL PROPERTY

All Content provided through PainCRNA.com, except material expressly attributed to another owner, is owned by or licensed to Anodyne Seminars, LLC and is protected by applicable copyright, trademark, trade-secret, unfair-competition, and other intellectual-property laws.

Protected Content includes, without limitation:

  • course videos;
  • lectures;
  • slide presentations;
  • graphics;
  • illustrations;
  • procedural images;
  • ultrasound images;
  • fluoroscopic images;
  • animations;
  • photographs;
  • algorithms;
  • study guides;
  • handouts;
  • examinations;
  • practice questions;
  • answer choices;
  • rationales;
  • question banks;
  • course organization;
  • curricula;
  • course names;
  • original tables;
  • downloadable resources;
  • business processes;
  • website copy;
  • logos;
  • trademarks;
  • recordings;
  • faculty materials owned or licensed by the Company; and
  • compilations and arrangements of educational material.

The names PainCRNA, PainCRNA.com, Anodyne Seminars, associated logos, product names, course titles, and other brand identifiers may constitute trademarks or other protected intellectual property.

No rights are transferred except the limited personal educational license expressly granted under these Terms.


14. PROHIBITED COPYING, RECORDING, SHARING, SCRAPING, AND AI USE

Unless PainCRNA.com provides prior written authorization, Users may not:

  1. record a live or recorded course;
  2. screen-record educational Content;
  3. photograph or screenshot examination questions or substantial portions of courses;
  4. copy or reproduce question banks;
  5. distribute answer keys or rationales;
  6. upload Company Content to public or private repositories for distribution;
  7. post Company Content to social-media groups, forums, shared drives, study groups, or file-sharing services;
  8. sell or redistribute Company Content;
  9. scrape, crawl, harvest, systematically download, or extract Website Content;
  10. use bots, scripts, automated systems, or data-extraction tools to collect Content;
  11. remove copyright, trademark, watermark, attribution, or proprietary notices;
  12. reconstruct a PainCRNA course or question bank from memory for commercial distribution;
  13. use Company Content to create a competing question bank, course, application, website, membership, examination-preparation service, or continuing education product;
  14. upload proprietary PainCRNA Content into a generative artificial intelligence system, large language model, machine-learning training system, automated question generator, or similar service for the purpose of reproducing, transforming, analyzing, training on, or generating derivative commercial materials; or
  15. instruct, assist, or enable another person to perform any prohibited activity.

The Company may use technical safeguards to detect unusual downloading, simultaneous logins, scraping, account sharing, screen capture, or other suspected misuse.


15. LIMITED NON-COMPETITION, NON-SOLICITATION, AND NON-CIRCUMVENTION

15.1 Purpose

Users acknowledge that PainCRNA.com and Anodyne Seminars, LLC have invested substantial time, expense, clinical expertise, intellectual property, faculty relationships, business relationships, and confidential information in developing their educational programs.

The restrictions in this Section are intended to protect legitimate business interests and proprietary information and are not intended to prevent a healthcare professional from practicing medicine, nursing, anesthesia, interventional pain management, or any other healthcare profession.

15.2 Competitive Use of PainCRNA Materials Prohibited

During your access to the Services and for twelve (12) months following termination of that access, you agree not to directly or indirectly use PainCRNA proprietary Content, Confidential Information, question banks, curricula, course structures, nonpublic business information, faculty information, or other Protected Materials to create, own, operate, market, manage, or materially assist a commercial educational product or business that substantially competes with PainCRNA.com or Anodyne Seminars, LLC.

For purposes of this Section, a competing educational product may include a substantially similar:

  • pain-management continuing education platform;
  • CRNA pain-management education business;
  • anesthesia or pain-management question bank;
  • board or certification review product;
  • paid pain-management membership;
  • pain-procedure training platform;
  • online pain-management course business; or
  • commercial educational curriculum

that is copied from, materially derived from, developed through unauthorized use of, or substantially based upon the Company's Protected Materials or Confidential Information.

15.3 Independent Professional Activities

Nothing in these Terms prevents you from:

  • practicing as a healthcare professional;
  • performing pain-management services within your lawful scope of practice;
  • accepting employment or contracting with another healthcare organization;
  • conducting independent research;
  • teaching generally accepted medical knowledge derived from legitimate independent sources;
  • publishing your own independently created work;
  • participating in professional associations; or
  • developing educational material that is genuinely independently created and does not use PainCRNA Protected Materials or Confidential Information.

15.4 Non-Solicitation

To the maximum extent permitted by law, a User who obtains nonpublic access to Company faculty, contractors, employees, sponsors, vendors, or business relationships through PainCRNA may not use confidential or proprietary Company information to intentionally solicit those persons for the primary purpose of diverting a substantially similar educational opportunity or business relationship from PainCRNA.com or Anodyne Seminars, LLC during the User's relationship with the Company and for twelve (12) months thereafter.

General advertising not specifically directed at such persons is not prohibited.

15.5 Non-Circumvention

Users may not use Company introductions, confidential negotiations, nonpublic pricing information, faculty arrangements, sponsor information, vendor information, or business opportunities for the purpose of intentionally bypassing or circumventing Anodyne Seminars, LLC in a transaction or educational opportunity introduced by the Company.

15.6 Reasonableness and Reformation

These restrictions shall apply only to the maximum extent permitted by applicable law.

If a court or arbitrator determines that a restriction is broader than legally permissible, the parties request that the restriction be interpreted, modified, or enforced to the maximum lawful extent rather than invalidated in its entirety where applicable law permits such modification.


16. CONFIDENTIAL INFORMATION AND TRADE SECRETS

Certain information provided to Users, faculty, collaborators, contractors, affiliates, scholarship recipients, or other participants may constitute Confidential Information.

“Confidential Information” includes nonpublic information concerning:

  • course development;
  • unreleased courses;
  • question banks;
  • examination-development methods;
  • pricing strategies;
  • marketing strategies;
  • business plans;
  • prospective partnerships;
  • faculty agreements;
  • vendor arrangements;
  • customer information;
  • financial information;
  • proprietary teaching methods;
  • internal documents;
  • software;
  • technology;
  • business opportunities; and
  • other information that a reasonable person would understand to be confidential.

You may not disclose or use Confidential Information for any purpose other than your authorized relationship with the Company.

Nothing in these Terms limits rights or remedies available under applicable trade-secret or intellectual-property law.


17. DISCUSSION FORUMS, COMMENTS, AND USER CONTENT

PainCRNA.com may provide forums, comments, messaging, social features, or other interactive services.

You must not submit Content that:

  • violates law;
  • infringes intellectual property;
  • contains threats or harassment;
  • is defamatory;
  • contains malicious software;
  • contains unauthorized advertising or spam;
  • contains confidential examination material;
  • falsely represents another person's identity;
  • compromises patient privacy; or
  • contains Protected Health Information that you are not legally authorized to disclose.

PainCRNA.com may moderate, remove, restrict, or preserve communications as reasonably necessary to operate the Services, protect Users, enforce these Terms, or comply with law.

Opinions expressed by Users are their own and do not necessarily represent PainCRNA.com or Anodyne Seminars, LLC.


18. PATIENT INFORMATION, HIPAA, AND PRIVACY

DO NOT UPLOAD IDENTIFIABLE PATIENT INFORMATION TO PAINCRNA.COM UNLESS THE COMPANY HAS EXPRESSLY PROVIDED A SYSTEM AND WRITTEN AUTHORIZATION FOR THAT PURPOSE.

The Website is an educational platform and should not be treated as an electronic medical record or patient-care communication system.

Users are solely responsible for complying with HIPAA, state privacy laws, facility policies, professional confidentiality requirements, and other applicable privacy obligations when discussing clinical cases.

Where clinical cases are discussed for educational purposes, Users should appropriately de-identify patient information.

The Company's receipt of information through an ordinary educational feature does not, by itself, create a business associate relationship with the User or the User's employer.


19. LIVE COURSES, WORKSHOPS, PROCEDURAL TRAINING, AND EVENTS

Additional terms, releases, informed-consent documents, safety requirements, facility rules, or assumption-of-risk agreements may apply to live courses, conferences, cadaver laboratories, procedural workshops, simulation training, or other in-person events.

Participants must comply with all instructor and facility safety requirements.

Participation in hands-on education does not guarantee competency or authorization to perform a procedure independently.

PainCRNA.com may remove a participant from an educational activity when reasonably necessary for safety, disruption, misconduct, failure to comply with requirements, or protection of patients or participants.


20. FACULTY OPINIONS AND DISCLOSURES

Faculty members may express professional opinions based upon their education, training, experience, interpretation of scientific literature, or clinical practice.

Unless expressly stated, an instructor's opinion should not be interpreted as an official policy or position of PainCRNA.com or Anodyne Seminars, LLC.

Faculty relationships, financial disclosures, or conflicts of interest will be disclosed when required by applicable continuing education standards.

References to a particular drug, medical device, manufacturer, service, company, or technique do not necessarily constitute endorsement.


21. PRICING, PAYMENTS, SUBSCRIPTIONS, AND RENEWALS

Prices are displayed at the time of purchase and may change prospectively at any time.

You authorize the Company and its payment processors to charge the payment method you provide for purchases you authorize.

If a Service is sold as a recurring subscription, the applicable checkout page will identify the recurring nature of the charge.

You are responsible for canceling recurring Services in accordance with the cancellation instructions applicable to your subscription.

The Company may suspend access following a failed, reversed, disputed, fraudulent, or unauthorized payment.


22. REFUNDS AND CANCELLATIONS

Refund eligibility may vary depending upon the course, conference, subscription, downloadable product, or other Service.

Any refund or cancellation policy displayed for a specific product or event at the time of purchase is incorporated into these Terms and controls with respect to that product.

Unless otherwise expressly stated, access to substantially consumed digital Content, completed continuing education activities, downloaded materials, issued certificates, or completed examinations may be nonrefundable to the extent permitted by law.

Nothing in this Section eliminates any refund or cancellation right that cannot lawfully be waived.

Chargeback fraud or knowingly false payment disputes may result in termination of access and collection of amounts lawfully due.


23. THIRD-PARTY SERVICES AND LINKS

The Website may contain links to third-party websites, scientific publications, manufacturers, professional organizations, government agencies, payment processors, learning platforms, vendors, or other resources.

PainCRNA.com does not control third-party services and is not responsible for their content, privacy practices, security, availability, accuracy, products, or services.

A link or reference does not necessarily constitute endorsement.

Your use of a third-party service may be governed by separate terms between you and that third party.


24. SERVICE AVAILABILITY

The Website and Services are provided on an “AS IS” and “AS AVAILABLE” basis.

PainCRNA.com does not warrant uninterrupted availability.

Services may be temporarily unavailable because of:

  • maintenance;
  • hosting failures;
  • software errors;
  • internet interruptions;
  • cyberattacks;
  • power failures;
  • third-party outages;
  • force majeure events;
  • government action; or
  • circumstances outside the Company's reasonable control.

The Company may modify, replace, update, discontinue, or reorganize Content or Services when reasonably necessary.


25. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND CONTENT ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

THE COMPANY DISCLAIMS, TO THE EXTENT PERMITTED BY LAW, WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AND FITNESS FOR A PARTICULAR CLINICAL OR PROFESSIONAL APPLICATION.

THE COMPANY DOES NOT WARRANT THAT:

  • Content will be free of error;
  • Content will always reflect the newest guideline or law;
  • use of Content will produce a particular patient outcome;
  • a User will pass an examination;
  • a User will obtain privileges or certification;
  • reimbursement will be received;
  • a technique is appropriate for every patient; or
  • use of the Services will satisfy every professional or regulatory requirement.

26. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAINCRNA.COM, ANODYNE SEMINARS, LLC, AND THEIR OWNERS, MEMBERS, OFFICERS, EMPLOYEES, FACULTY, INSTRUCTORS, AGENTS, CONTRACTORS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICES.

WITHOUT LIMITING THE FOREGOING, THE COMPANY SHALL NOT BE LIABLE FOR DAMAGES ARISING FROM:

  • medical decisions;
  • patient care;
  • professional negligence by a User;
  • medication administration;
  • procedures performed by a User;
  • patient injury;
  • patient death;
  • complications;
  • failure to diagnose;
  • billing or coding decisions;
  • denial of reimbursement;
  • loss of licensure;
  • credentialing or privileging decisions;
  • regulatory actions;
  • employment decisions;
  • examination performance;
  • lost profits;
  • lost business;
  • loss of data;
  • reliance on outdated information;
  • unauthorized access caused by a User's failure to protect account credentials; or
  • inability to access the Website.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S AGGREGATE LIABILITY ARISING FROM THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY THE USER TO THE COMPANY FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Nothing in these Terms excludes liability that applicable law does not permit the Company to exclude or limit.


27. USER INDEMNIFICATION

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless PainCRNA.com, Anodyne Seminars, LLC, and their owners, members, officers, employees, faculty, instructors, contractors, and affiliates from third-party claims, liabilities, damages, judgments, losses, costs, or reasonable attorneys' fees arising from or relating to:

  • your clinical practice;
  • your treatment of a patient;
  • your professional negligence or misconduct;
  • your violation of law;
  • your violation of scope-of-practice requirements;
  • your misuse of Company Content;
  • your infringement of intellectual property;
  • unauthorized sharing of your Account;
  • your disclosure of patient information;
  • your breach of these Terms; or
  • Content submitted by you.

This obligation does not require you to indemnify the Company for liability caused solely by the Company's own gross negligence or willful misconduct where such limitation is prohibited by law.


28. SUSPENSION AND TERMINATION

PainCRNA.com may suspend or terminate an Account for material violation of these Terms, including:

  • account sharing;
  • piracy;
  • unauthorized recording;
  • question-bank copying;
  • scraping;
  • intellectual-property infringement;
  • fraudulent payment activity;
  • harassment;
  • submission of unlawful Content;
  • attempts to compromise Website security;
  • misuse of continuing education certificates;
  • credential misrepresentation; or
  • unauthorized competitive use of Company materials.

Termination does not eliminate obligations concerning intellectual property, confidentiality, indemnification, restrictive covenants, dispute resolution, or other provisions that by their nature survive termination.


29. INJUNCTIVE RELIEF FOR INTELLECTUAL PROPERTY AND CONFIDENTIAL INFORMATION

You acknowledge that unauthorized disclosure, copying, distribution, scraping, commercial exploitation, or competitive use of Company intellectual property or Confidential Information may cause harm that cannot be adequately remedied solely with money damages.

To the extent permitted by law, the Company may seek temporary, preliminary, or permanent injunctive or equitable relief to prevent or stop actual or threatened infringement, misappropriation, piracy, unauthorized disclosure, or misuse.


30. DISPUTE RESOLUTION AND INDIVIDUAL ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS LEGAL RIGHTS.

Except for claims eligible for small-claims court and requests for temporary or injunctive relief involving intellectual property, confidentiality, piracy, or unauthorized access, you and Anodyne Seminars, LLC agree that disputes arising from these Terms or the Services shall first be submitted to a good-faith informal resolution process.

The party asserting a dispute must provide written notice describing the claim and requested resolution.

If the dispute cannot be resolved informally within thirty (30) days, either party may elect binding individual arbitration to the extent permitted by applicable law.

Arbitration shall be administered by a nationally recognized arbitration provider under the rules applicable to the dispute. Arbitration may occur remotely when permitted.

ARBITRATION SHALL OCCUR ON AN INDIVIDUAL BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, CONSOLIDATED ACTION, OR REPRESENTATIVE PROCEEDING AGAINST THE OTHER.

Any arbitration provision shall be interpreted consistently with the Federal Arbitration Act where applicable.

A User may opt out of the arbitration requirement by providing written notice to the Company within thirty (30) days after first accepting these Terms. Opting out of arbitration does not affect the remaining Terms.


31. GOVERNING LAW

These Terms shall be governed by and construed under the laws of the State of Tennessee, without regard to conflict-of-law principles, except where federal law controls or applicable law requires otherwise.

For a dispute not subject to arbitration, the parties consent to jurisdiction in the appropriate state or federal court serving the Tennessee county in which Anodyne Seminars, LLC maintains its principal place of business, unless applicable law requires another venue.


32. PRIVACY

Use of PainCRNA.com is also governed by the Company's Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.

The Company may use third-party providers for hosting, analytics, payment processing, email, course delivery, authentication, video hosting, customer service, and other operational functions as described in the Privacy Policy.


33. ELECTRONIC COMMUNICATIONS

By creating an Account or purchasing Services, you consent to receive transactional electronic communications reasonably necessary to administer your Account, purchase, course, certificate, or event.

Marketing communications are subject to applicable law and the preferences provided through the relevant communication.

Electronic notices may satisfy requirements that communications be provided in writing to the extent permitted by law.


34. CHANGES TO THESE TERMS

The Company may revise these Terms periodically.

The current version will be posted through PainCRNA.com with an updated revision date.

Where changes materially affect existing contractual rights, the Company may provide additional notice or require renewed acceptance when appropriate.

Continued use of the Services after legally effective changes constitutes acceptance of those changes to the extent permitted by law.


35. SEVERABILITY

If any provision of these Terms is determined to be illegal, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law or severed when necessary.

The remaining provisions shall remain in effect.


36. NO WAIVER

Failure by the Company to exercise or enforce a right under these Terms does not constitute a waiver of that right.

A waiver on one occasion does not constitute a waiver on another occasion.


37. ASSIGNMENT

You may not assign or transfer your Account, educational license, or rights under these Terms without written authorization from the Company.

The Company may assign these Terms in connection with a merger, reorganization, sale, transfer of assets, change of control, or transfer to an affiliated entity to the extent permitted by law.


38. NO THIRD-PARTY BENEFICIARIES

Except for Company parties expressly protected by the disclaimer, limitation-of-liability, indemnification, intellectual-property, or similar provisions of these Terms, these Terms do not create enforceable rights for unrelated third parties.


39. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Cookie Policy, applicable checkout terms, event-specific terms, course-specific terms, and any separate agreement expressly incorporated by reference, constitute the agreement between you and the Company concerning use of the Services.

If a specific written agreement signed by Anodyne Seminars, LLC conflicts with these general Terms, the specifically negotiated written agreement controls with respect to its subject matter.


40. FORCE MAJEURE

The Company shall not be responsible for delay, cancellation, interruption, or inability to perform resulting from circumstances beyond its reasonable control, including natural disasters, severe weather, epidemics, pandemics, war, terrorism, governmental action, labor disputes, utility failures, transportation disruptions, internet outages, cyber incidents, venue closures, speaker illness, or similar events.

Specific event cancellation or rescheduling policies may provide additional remedies.
